End User License Agreement (EULA)

This End User License Agreement ("Agreement") governs the use of the Simplr Accounting Console (the "Application"), a private software tool owned and operated by Simplr Accounting ("we", "us"), a bookkeeping practice based in British Columbia, Canada.

1. Nature of the Application

The Application is an internal tool used exclusively by our firm to provide bookkeeping and accounting services to our clients. It is not distributed, sold, or licensed to the public, and it is not listed on the QuickBooks App Store.

2. Authorized users

Only personnel of Simplr Accounting are authorized to operate the Application. Clients do not access the Application directly; they authorize it to access their QuickBooks Online company through Intuit's standard OAuth consent process.

3. Scope of access

With a client's authorization, the Application reads and updates accounting data in the client's QuickBooks Online company (such as the chart of accounts, customers and suppliers, invoices, bills, payments, expenses, journal entries, attachments, sales tax data, and reports) strictly for the purpose of delivering the bookkeeping services the client has engaged us to perform.

4. Revoking access

A client may revoke the Application's access at any time from within QuickBooks Online (Apps → My Apps) or by contacting us at support@simplraccounting.com. Revoking access does not affect data already recorded in the client's books.

5. Disclaimer and limitation of liability

The Application is provided "as is" for our internal use. To the maximum extent permitted by law, we disclaim all warranties, express or implied, regarding the Application's operation. Nothing in this Agreement limits the professional obligations we owe our clients under our engagement agreements.

6. Intellectual property

The Application and its source code are the property of Simplr Accounting. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. We are not affiliated with, or endorsed by, Intuit Inc.

7. Governing law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
